| AMENDMENT TO THE BY-LAWS OF RES336_091909 LINCOLN UNIVERSITY |
WHEREAS, The By-Laws
of Lincoln University of the Commonwealth System of Higher Education, adopted
by the Board of Trustees on November 20, 1999, is the official document governing
the policy directives and the management of the University; and
WHEREAS, Article II, Section 2E of the By-Laws states that, “The Board may
from time to time elect Trustee Emeriti who may sit with the Board at all
regular or special meetings but shall have no vote. A Trustee Emeritus
shall not be eligible for membership on any committees of the Board; provided,
however, that Trustees Emeriti may attend the meeting of any committee of
the Board.”; and
WHEREAS, The Board is desirous of utilizing the expertise and experience
of Trustee Emeriti in the decision making process of the Board standing committees;
therefore be it
RESOLVED, That the Board of Trustees approves the following amendment to
the By-Laws of Lincoln University as follows:
Article II, Section 2E
The Board may from time to time elect Trustee Emeriti who may sit with the
Board at all regular or special meetings but shall have no vote. A
Trustee Emeritus may be eligible for membership and serve on any committee
of the Board and Trustees Emeriti may attend the meeting of any committee
of the Board.
