RESOLVED, That the University adopts the Lincoln University 457(b) Deferred Compensation Plan (the “Plan”) to cover the employees of the University who are in the top one (1%) percent of all employees by compensation whose position requires the employee to exercise influence and control over the University’s policies and decision making.  Eligible employees may commence elective deferrals into the Plan on or about April 18, 2009, or as soon thereafter as deferrals can reasonably be implemented; and further

RESOLVED, That the officers of the University other than the President are hereby authorized and directed to execute any and all documents and do any and all acts which may be necessary in connection with the adoption, maintenance and ongoing funding of the Plan; and further

 RESOLVED, That the officers of the University are hereby authorized and directed to retain any service providers they believe necessary or desirable in connection with the Plan.
