RESOLUTION 311

| RATIFICATION AND APPROVAL OF RES311_111508 PREMIUM CONVERSION PLAN |
WHEREAS, The Lincoln University Board of Trustees has reviewed and carefully considered the actions of the Administration to fully restate and amend effective July 1, 2008, the Plan Document of the Lincoln University of the Commonwealth System of Higher Education Premium Conversion Plan in the form attached to these Minutes as “Exhibit A” and incorporated herein by reference; and
WHEREAS, The Board has determined that it is in the best interest of the University and its employees to approve and ratify the adoption of such Restated and Amended Plan Document; and
WHEREAS, The Board has determined that the actions of the Administration prior to the date of this meeting to adopt, execute, and implement on behalf of the University the said Restated and Amended Plan Document were proper and in the best interest of the University; now therefore be it
RESOLVED, That the Plan Document, as amended and restated effective July 1, 2008 of the Lincoln University of the Commonwealth System of Higher Education Premium Conversion Plan attached hereto as Exhibit A be, and by this Resolution hereby is, approved, ratified and adopted effective July 1, 2008; and further
RESOLVED, That the Administration’s adoption and implementation of the said Restated and Amended Plan Document effective July 1, 2008, and actions relating thereto, including the execution of the Amended and Restated Plan Document on behalf of the University by the President, that have been taken or made prior to the date of this meeting of the Board and that have been reported on at this meeting are hereby ratified, affirmed, and approved; and further
RESOLVED, That the Secretary of this Board is directed to enter a copy of the attached Restated and Amended Plan Document into the records of
