RESOLVED, That the Lincoln University Board of Trustees
hereby appoints the independent certified public accounting firm of Thompson,
Cobb, Bazilio and Associates, PC to perform the examinations of, and render an
opinion on, the June 30, 2004 financial statements of Lincoln University.
